Share acquisition of waste management company
We advised a private company in the waste management industry on its acquisition of the shares of a smaller waste management company in the North of England. Due to funding requirements, we were required to work to a very tight timetable and we therefore took a very commercial approach to negotiating the documents. As the sellers were staying on at the acquiring company after completion, the buyer wanted to incentivise their performance, and so we included a complex earn-out structure in the share purchase agreement.
