Bonus scheme
We advised an SME on the design of a bonus and share option plan to tie in top employees and reward them with shares in the employer on achieving good performance targets. We provided guidance on the operation of the bonus, limits of and safeguards regarding the employer’s use of discretion, circumstances in which payments should be made and provisions regarding the treatment of leavers. We also dealt with implementation of the share options, EMI tax relief, and amendments to the corporate structure. The client was able to incentivise its top people while retaining control and protection on their departure.
