Technology device distribution agreement  

Our client invented a new technology device and we advised the company on entering into a distribution agreement with a third party to supply the device in Europe.  We advised our client on the difference between appointing the third party as an agent or a distributor.  We negotiated on behalf of our client that it would be a non-exclusive distribution agreement to provide our client with flexibility going forward.   

Provision of freelance contractors   

Our client was an IT company that provided engineers on an ad-hoc basis to its corporate clients to fix their technology as and when required.  We prepared freelance contractor agreements for the company to enter into with the individual engineers.  We included bespoke drafting to provide our client with maximum flexibility and to ensure that the engineers would not be deemed to be employees of the company.   

Events with celebrity speakers   

Our client was an event management company specialising in corporate events with celebrity speakers.  We drafted a bespoke agreement for our client to enter into with the agents of celebrities.  We advised our client on the commercial aspects of the venture (such as insurance and pricing) as well as specific legal issues.

Re-seller agreements

Gannons advised a company specialising in manufacturing on the creation and management of re-seller and distribution agreement in 10 countries.  Gannons handled the commercial negotiations as well as implementation and dealt with ancillary consultancy agreements for design of new products.
