I am a senior associate solicitor in the company and commercial law team. We support companies, partnerships, entrepreneurs and shareholders.  I have been a solicitor for over 25 years and share all that experience every day in my professional life. The cost benefit analysis is always on my mind.


Working in a niche law firm means a wide variety of queries requiring answers land on my desk.  I have picked out some of the areas I deal with daily to give you an idea.  However, just because it is not on the list does not mean I cannot help you – please do call.

Business acquisitions and disposals

The bulk of the work involves buying and selling businesses. One of the focuses of the team I work in is to review the tax aspects of any deal to build a structure most suitable for the transaction. Entreprenuers’ relief is a very popular topic.

Company re-organisations and re-structuring 

I work with companies looking to find the opportunities that can be created by re-organising their business activities – for example by spinning off part of the business pre-sale or by splitting out property ownership from the trading part of the business..  Company share buy backs are another area for opportunity.  There are many permutations.   We look for paths to minimize exposure to taxes when the assets are moved.

Employee share schemes

I help both employers looking to implement equity incentives, e.g. EMI options, and employees seeking advice on share or option awards.  We can deal with every step from the design of the incentives, dilution of the equity when an option is exercised, documentation such as share/option plan rules, the process for exercise and sale of the shares.

Employment related securities

The tax legislation governing shares held by employees and directors in private companies is very complex.  There are also tricky HMRC reporting rules governing employment related securities.   An area of our expertise involves guiding employers and their accountants on how to avoid the pitfalls.

Investment structures

Many clients seek EIS or SEIS investment and work on applications to HMRC for assurance that the investment will qualify for the generous tax reliefs.  Gannons are active members of the UK Business Angels Association.  I work with both investors and entrepreneurs taking them through the commercial and tax issues arising under investment documentation (including crowd funding documents).


I have experience of drafting and negotiating a wide range of commercial contracts, including terms of business, consultancy agreements, non-disclosure agreements, agency and distribution agreements, software development agreements, IP licensing agreement and publishing agreements, outsourcing agreements, e-commerce terms and conditions and website development agreements.

Why I love my job

I still find new challenges which are interesting and keep me on my toes.  My clients are often demanding but I love it.  I believe in the ethos of the firm and can see the benefit the firm brings to clients not just in terms of expertise but also cost.
