I am a member of the corporate department, advising private companies, business owners and investors on a wide range of transactional and advisory matters. I have experience acting on both UK and cross-border transactions, often involving complex corporate structuring and tax considerations.
I work closely with clients to deliver commercially focused advice and I aim to deliver a smooth and successful conclusion to any transactions.
My particular areas of expertise include:
- Review and drafting of agreements for the purchase and sale of private companies and groups.
- Restructuring of companies. My expertise includes planning structures to minimise tax and obtaining clearance from HMRC. We handle the paperwork, filings at UK Companies House, and implementation of the new structure.
- Creating holding companies, often involving offshore structures.
- Commercial loan agreements.
- Security (charges and debentures)
- Investment agreements;
- share transfers.
- Obtaining HMRC approval for Company share buy- backs, enabling capital payments that are typically more tax-efficient that dividend payments to shareholders.
- Setting up investment structures including EIS, SEIS and family investment companies.
